2. Services & Project Engagements
Deepmtrx Digital provides custom technology services including website design and development, custom business applications (inventory, HRMS, booking tools, admin dashboards), workflow integrations, platform migrations, and maintenance services.
Each project scope, timeline, milestones, and deliverable specifications will be documented in a written project proposal or agreement mutually acknowledged prior to project kickoff.
3. Client Responsibilities
To ensure timely execution and delivery, the client agrees to:
- Provide necessary assets, credentials, content, brand materials, and specifications in a reasonable timeframe.
- Designate a primary point of contact for timely reviews and approvals.
- Ensure that all materials and assets supplied do not infringe on any third-party copyrights or intellectual property.
4. Intellectual Property & Ownership
Upon complete receipt of project milestone payments, full intellectual property rights and code ownership for custom deliverables are transferred to the client, excluding any underlying open-source libraries or third-party frameworks utilized within the solution.
5. Payment Terms & Milestone Invoicing
Projects are typically executed on milestone-based billing schedules agreed upon in the project statement of work. Invoices must be settled within the designated timeframe specified on the invoice.
6. Limitation of Liability
Deepmtrx Digital shall not be liable for indirect, incidental, special, or consequential damages arising from the use or inability to use delivered digital systems, third-party hosting outages, or external API modifications outside our reasonable control.
